These Terms & Conditions (“Terms”) govern access to and use ofPocketWatch, including our mobile applications, web-based services, accountsetup workflows, SMS communications, and related services provided by VirtualSelect LLC (“Virtual Select,” “we,” “our,” or “us”).

By accessing or using PocketWatch, you agree to these Terms. If you areusing PocketWatch on behalf of your employer or another organization, yourepresent that you are authorized to use PocketWatch as part of thatorganization’s account.

1. About PocketWatch

PocketWatch is an AI-native manufacturing software platform designed tohelp companies improve visibility, quality, workflow execution, processcontrol, and operational performance. PocketWatch may include applications ormodules such as statistical process control, digital traveler workflows,manufacturing data collection, measurement workflows, role-based access,operational visibility, analytics, and related manufacturing technologyservices.

PocketWatch services may include PocketWatch SPC, PocketWatch Traveler,and other current or future PocketWatch products released by Virtual Select.

2. Authorized Business Use

PocketWatch is intended for authorized business use by companies,administrators, employees, contractors, and other approved users. Users mayaccess PocketWatch only through an authorized company account or invitation.

You agree not to misuse PocketWatch, attempt unauthorized access,interfere with system operation, submit false or harmful information, or usePocketWatch in violation of applicable law, company policy, or these Terms.

3. Account Setup and User Invitations

Users may be invited to PocketWatch by an authorized companyadministrator. Invitations may be sent by SMS, email, or other approvedmethods. Account setup may require verification, authentication, roleassignment, and acceptance of applicable company or PocketWatch requirements.

4. PocketWatch SMS Program Terms

Program Name: PocketWatch

PocketWatch SMS messages are used for account-related communicationsonly. These may include user invitations, account setup instructions, appdownload or setup links, verification codes, administrator contact information,support instructions, and required SMS compliance language.

PocketWatch does not send SMS marketing messages, promotional messages,or sales campaigns. Operational manufacturing alerts in the PocketWatch MVP arehandled inside the application and are not sent by SMS.

Message frequency may vary depending on account setup, invitationactivity, verification activity, and user support needs.

Message and data rates may apply.

You may opt out of PocketWatch SMS messages at any time by replying STOP.After you reply STOP, you may receive one final confirmation message confirmingthat you have been opted out. After that, you will no longer receivePocketWatch SMS messages unless you opt in again.

Carriers are not liable for delayed or undelivered messages.

5. SMS Consent

By providing your mobile number and agreeing to receive PocketWatch SMSmessages, you consent to receive account-related text messages from PocketWatchat the mobile number provided. Consent to receive SMS messages is not acondition of purchasing any goods or services.

If your employer or company administrator enters your mobile number foraccount setup, PocketWatch may send account-related invitation or verificationmessages only as permitted by applicable consent requirements and messagingrules.

6. Fees and Payment

Fees for PocketWatch services are governed by the applicable agreementbetween Virtual Select and the customer organization. Individual authorizedusers are not charged by Virtual Select for receiving SMS messages, but messageand data rates may apply from the user’s mobile carrier.

7. Customer Data

Customer organizations are responsible for the accuracy, legality, andauthorization of data provided to PocketWatch, including user information,manufacturing data, quality data, operational data, specifications,measurements, inspection records, work orders, traveler data, job information,part information, account configuration information, and related businessinformation.

Virtual Select processes customer data to provide, secure, support, andimprove PocketWatch services, subject to applicable agreements and our PrivacyPolicy.

8. User Responsibilities

Users agree to:

  • Use PocketWatch only for     authorized business purposes.
  • Keep login credentials secure.
  • Enter accurate information when     using the system.
  • Follow employer policies and     applicable laws.
  • Report suspected unauthorized     access or misuse.
  • Use PocketWatch in a manner     consistent with manufacturing quality, workflow, operational, and safety     expectations.

9. Service Availability

We work to keep PocketWatch available and reliable, but we do notguarantee uninterrupted or error-free operation. PocketWatch may be updated,modified, suspended, or unavailable from time to time for maintenance,security, improvement, or circumstances beyond our control.

10. Intellectual Property

PocketWatch, including its software, design, workflows, content,branding, documentation, and related materials, is owned by Virtual Select LLCor its licensors. These Terms do not transfer ownership of PocketWatch or anyVirtual Select intellectual property.

Customer organizations retain ownership of their own business,manufacturing, quality, workflow, and operational data, subject to the rightsneeded for Virtual Select to provide and support PocketWatch services.

11. Acceptable Use

You may not:

  • Attempt to gain unauthorized     access to PocketWatch systems.
  • Reverse engineer, copy, or misuse     PocketWatch software except as permitted by law.
  • Upload malicious code or     interfere with system security.
  • Use PocketWatch to violate laws,     regulations, or third-party rights.
  • Misrepresent data, identity,     authorization, or account status.

12. Disclaimers

PocketWatch is provided for manufacturing visibility, quality, workflow,process-control, and operational support. Customer organizations remainresponsible for their own manufacturing decisions, quality systems, complianceobligations, specifications, inspections, releases, corrective actions,production outcomes, and operational decisions.

PocketWatch is provided on an “as available” basis except as expresslystated in a separate written agreement with Virtual Select.

13. Limitation of Liability

To the maximum extent permitted by law, Virtual Select LLC will not beliable for indirect, incidental, consequential, special, exemplary, or punitivedamages arising from or related to use of PocketWatch.

Any liability of Virtual Select will be limited as provided in theapplicable customer agreement or, if no such agreement applies, to the maximumextent permitted by applicable law.

14. Privacy

Use of PocketWatch is also governed by our Privacy Policy, available at:pocketwatch.ai/privacy-policy.

15. Changes to These Terms

We may update these Terms from time to time. When changes are made, wewill update the effective date above. Continued use of PocketWatch afterupdated Terms are posted means the updated Terms apply.
